ArchList Terms of Use

These terms of use govern your access to and use of ArchList, our website (https://archlist.net/), and our services. By accessing the website, you agree to be bound by the terms, conditions, policies, and notices stated here.

These terms of use apply to all users of ArchList, including, but not limited to, browsers, vendors, customers, merchants, and/or content contributors.

I. Eligibility

ArchList and its services are not designed for use by anyone under the legal age of Eighteen (18) years old (“child”). If you are still a child, please seek the permission of your parent or legal guardian before using ArchList. By accessing, creating, and keeping an account with us, you represent and warrant that you possess the foregoing eligibility requirements. You also allow us expressly to use all necessary means to verify your age and identity with any third-party information provider.

Parents or guardians who believe their child(ren) use(s) ArchList without their permission may contact [email protected] to terminate or suspend their child(ren)’s access. Likewise, you may ask us to delete your child(ren)’s information. Use the subject line, “Deletion Request for Minor”. Further, ArchList reserves the right to ask you to verify your relationship with the child before we can honor such a request.

II. License

ArchList gives you a non-exclusive, non-transferrable, and revocable license to access the website for personal and non-commercial use according to these Terms of Use and other rules (the “Agreement”).

a. Certain Restrictions
The rights granted to you in the Agreement are subject to the following limitations:
(1) You shall not assign, distribute, license, lease, sell, rent, transfer, or otherwise exploit ArchList commercially.

(2) You shall not modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of ArchList.

(3) You shall not access ArchList to build a similar or competitive service.

(4) Except as stated herein expressly, you shall not copy, reproduce, distribute, republish, download, display, post, or transmit any part of ArchList in any form or by any means.

Any future release, update, or other addition to the functionality of ArchList shall be subject to the Agreement. All copyright and other exclusive notices on any ArchList content shall be retained on all copies thereof.

b. Open Source Software
Certain items of independent, third-party codes that may be included in ArchList are subject to open source licenses (“Open Source Software”). Such open source software is licensed under the terms of the license that come with the Open Source Software. No content in the Agreement restricts your right under, or grants you rights that surpass the terms and conditions of any applicable end user license for such Open Source Software.

c. Site Modification
ArchList shall modify, suspend, or discontinue part of or the whole website any time with or without notice and shall not be liable to you or any third party.

III. Right to Use Your Content

You allow and agree that any content you posted or placed on the website may be viewed by the public and shall not be treated as private or confidential. We and our affiliates, licensees, and sub-licensees can copy, adapt, create derivative works of, include, distribute, display publicly or otherwise exploit such content worldwide in any format or media.

Such permission shall be perpetual and irrevocable for any reason, whether now known or hereafter created, for the duration of any copyright or rights to such content. Further, you waive and release and covenant not to assert any moral right you have about any content you posted or placed to the extent permitted under applicable laws.

  • Granting of License
    You grant ArchList perpetual, inclusive, royalty-free, transferable, sub-licensable, global license to use; store; reproduce; change; create derivative works; perform; distribute; print; publish; and promote near and adjacent to your content in any form or media. Such permission shall be perpetual and irrevocable for any reason, whether now or hereafter created, in any manner appropriate/necessary, including, if submitted, your name, voice, and likeness worldwide.
  • Ownership and Right to Use Content
    By posting to or placing any content on ArchList, you represent and warrant to us that you own or have all the necessary rights to use the content, and grant to us the rights granted below this Agreement. The forgoing includes, but is not limited to, a representation and warranty that you own; or have the rights and releases to grant all rights allowed below related to any person, place, or intellectual property in any image you posted. In addition, if you post or, otherwise, send any content that is copyright-protected, you represent that you have obtained necessary permission or release from the applicable copyright owner.

IV. Registration and Privacy

You may need to register for an account or use your credentials from a third-party social media platform to access our services. If you register with ArchList, send us accurate and complete information (including, but not limited to, your email and/or mobile number (optional) and password to access our service).

You shall also keep your information accurate and updated. Failure to do so shall constitute a breach of these Terms of Use. This may result in immediate termination of your ArchList account. We suggest, but do not require, that you use your own name (“Username”) so that your friends can recognize you.

You agree that you shall not:

  • create an account for any person other than yourself.
  • create a username using the name of another person with the intent to impersonate that person.
  • create a username or account that is subject to any rights of a person other than you, without appropriate authorization.
  • create a username that is otherwise offensive, vulgar, obscene, or unlawful.

By using our services, you consent to ArchList’s collection, use, and disclosure of information about you and your device. Please visit our Privacy Policy to learn how we collect, use, and disclose information about you and your device. Before using our services, please review our data collection practices carefully.

V. Errors, Inaccuracies, and Omissions

From time to time, our website/services may contain information with typographical errors, inaccuracies, or omissions. ArchList reserves the right to correct any error, inaccuracy, or omission, and to change or update information or cancel orders/requests. If applicable, these include any information in the service or on any related website that are inaccurate at any time without prior notice (including after you have submitted your order/request).

VI. Indemnity

You hold ArchList (its officers, employees, and contractors) harmless from and against claims, damages, and costs, attorney’s fees, made by third party due to, arising from, or relative to:

  • your use of ArchList or any contract/agreement you enter or service you purchased through it
  • your user content
  • your violation of the Agreement
  • your violation of applicable laws or regulations

ArchList reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you shall indemnify us; and you agree to cooperate as we defend them. You agree not to settle any matter without the prior written consent of ArchList. We shall use sufficient efforts to inform you of any such claim, action, or proceeding upon becoming aware of it.

VII. Limitation of Liability

ArchList (our suppliers/partners) shall not be liable to you or any third party for lost profit or indirect, major exemplary, incidental, special, or punitive damage related to this Agreement; or your use of or inability to use the ArchList site, even if we have been advised of the possibility of such damages.

Our liability for Agreement-related damage for any cause and action, shall be limited to the sum you paid ArchList in the past Twelve (12) months (if any). This limit shall not increase with the presence of more than one claim. You agree that no liability of any sort arising from or relating to this Agreement shall be imposed on our partners.

This limit won’t be increased by the presence of more than one claim. You agree that no liability of any sort arising from or relating to this Agreement will be imposed on our suppliers and partners.

Some jurisdictions do not allow limited or omitted responsibility for consequential losses, so the above restriction or exclusion may not apply to you.

VIII. Severability

If, for whatever cause, these terms of use  are unenforceable by a court of proper authority, all terms and conditions shall remain unaffected and in full force and effect. No breach waiver of any terms’ provisions shall constitute a waiver of the previous, concomitant, or future breach of the same or any other provision of these terms. No waiver shall be valid until rendered in writing and signed by the waiving party’s authorized representative.

IX. Third Party Sites and Ads

ArchList may contain links to websites, services, and advertisements owned or run by parties other than ArchList (collectively, “Third-Party Sites and Ads”). We do not regulate or manage outside websites. We are not responsible for their content. Such Third-Party Sites and Ads appear as reference and for convenience only. ArchList does not review, approve, warrant, endorse, or represent any content of Third-Party Sites and Ads.

Unless we disclosed any endorsement or partnership with owners, operators, or sponsors, inclusion of links does not mean ArchList agrees and allows trademark or logo use on linked websites. You agree to use all Third-Party Sites and Ads at your own risk. If you connect to Third-Party Sites and Ads, their applicable terms and policies apply, including their privacy and data collection procedures.

You shall make any investigation you feel is necessary or appropriate before transacting with such Third-Party Sites and Ads. Complaints, claims, concerns, or inquiries regarding Third-Party Sites and Ads must be addressed to the third party in question.

X. Term and Termination

Subject to this section, these terms of use shall remain in full force and effect while you use the ArchList website. We may:

  • suspend your rights to use ArchList including your user registration
  • terminate the Agreement, at any time, for any reason at our sole discretion, including for any use of the website in violation of these terms of use. Upon termination of the Agreement, your user registration and right to access and use ArchList  shall be terminated. You understand that any termination of your user registration involves deletion of your user content associated therewith from our live databases. ArchList shall not have any liability whatsoever to you for any termination of the Agreement, including termination of your user registration or deletion of your user content.

XI. Copyright Infringement

We have placed certain legally mandated procedures regarding allegations of copyright infringement occurring on our website or with our service. We arrange for the outright suspension and/or termination of any site or service use that infringed on our or a third party’s rights, or violated any intellectual property law.

It is our policy is to investigate any allegation of copyright infringement brought to its attention. If you know or believe that your or a third party’s rights were violated and you want to delete, edit, or disable the material in question, send us:

  • a physical or electric signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed
  • an identification of the copyrighted work claimed to have been infringed, or, of multiple copyrighted works are covered by a single notification, a representative list of such works
  • an identification of the material claimed to be infringed; or to be the subject of infringing activity and be removed or access to that which must be disabled, and information reasonably sufficient to let us locate the material
  • information reasonably sufficient to let us contact you, such as an address, telephone number, and if available, an email address at which you may be contacted
  • a statement that you have a good faith belief that material use in the manner complained is not authorized by the copyright owner, its agent, or the law
  • a statement that the information in the notification are accurate and under penalty of perjury; that you are authorized to act on behalf of the owner of an exclusive right allegedly infringed.

XII. Governing Law

The Agreement and any separate agreement whereby we give you services shall be governed by and construed according to the laws of the United States. All matters, claims, or disputes arising out of or with these terms of use shall be submitted to the exclusive jurisdiction of the courts of the State of Michigan.

XIII. Changes to the Terms of Use

You can review the most current version of these terms of use on this page. ArchList reserves the right, at our sole discretion, to update, change, or replace any section of these terms of use by posting updates and changes. It is your responsibility to check this page from time to time for changes.
